Terms of Service

1. Introduction

Welcome to MemBridge. These Terms of Service ("Terms") govern your access to and use of MemBridge's services, website, and applications (collectively, the "Service") provided at membridge.ai. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

3. Eligibility

To use the Service, you must:

  • Be at least 13 years of age (or the minimum age required in your jurisdiction)
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under applicable laws

By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. MemBridge will not be liable for any loss or damage arising from your failure to protect your account information.

5. Service Description

MemBridge provides a memory storage and retrieval service designed to work with AI tools through the Model Context Protocol (MCP). The Service allows you to:

  • Create, store, update, and delete memory records
  • Access your memories from MCP-compatible AI tools
  • Organize and manage your stored information
  • Export your data

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

6. User Content

6.1 Your Responsibility

You are solely responsible for the content you store in MemBridge ("User Content"). You represent and warrant that you own or have the necessary rights to all User Content and that your User Content does not violate any third-party rights or applicable laws.

6.2 License to User Content

You retain all ownership rights to your User Content. By storing content on MemBridge, you grant us a limited license to store, process, and transmit your User Content solely for the purpose of providing the Service to you. We will not use your User Content for any other purpose without your explicit consent.

6.3 Content Restrictions

You agree not to store User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Violates any intellectual property rights of others
  • Contains viruses, malware, or other harmful code
  • Violates the privacy or publicity rights of others
  • Contains unsolicited promotional material or spam

7. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use automated systems (bots, scrapers, etc.) to access the Service without our prior written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any copyright, trademark, or other proprietary notices
  • Use the Service to store or transmit malicious code
  • Violate the usage limits of your subscription plan

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by MemBridge and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written permission.

9. Payment Terms

9.1 Subscription Plans

MemBridge offers both free and paid subscription plans. Current pricing and plan details are available on our website. We reserve the right to modify our pricing at any time, with advance notice to existing subscribers.

9.2 Billing

For paid subscriptions, you agree to pay all fees according to the pricing and payment terms in effect at the time the fee becomes payable. Fees are billed in advance on a monthly basis and are non-refundable except as required by law or as explicitly stated in these Terms.

9.3 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service and privacy policy.

9.4 Failed Payments

If a payment fails, we may suspend your access to premium features until payment is successfully processed. If payment issues persist, your account may be downgraded to the free plan.

10. Subscription and Cancellation

10.1 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee for the renewal period.

10.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period. You will continue to have access to premium features until the end of your paid period.

10.3 Refund Policy

We generally do not offer refunds for partial months of service. However, we may provide refunds at our sole discretion on a case-by-case basis.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. While we implement industry-standard security measures, we cannot guarantee the absolute security of your data. You use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMBRIDGE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless MemBridge, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at contact@membridge.ai. Upon termination, your right to use the Service will immediately cease.

14.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or prolonged inactivity.

14.3 Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. We may delete your User Content following account termination. We recommend exporting your data before terminating your account.

15. Data Retention After Termination

After account termination, we may retain your User Content for a limited period to allow for account recovery. After this grace period, all data will be permanently deleted and cannot be recovered. We may retain certain account information as required by law or for legitimate business purposes (e.g., fraud prevention, dispute resolution).

16. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service prior to the changes becoming effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

17.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of Japan.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MemBridge regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.
